Acceptance of Terms
By accessing or using Ageneral, including our website, application, APIs, and related services (collectively, the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
Description of the Service
Ageneral is a platform for deploying and running AI agents. We may add, modify, suspend, or discontinue features at any time. Some features may be offered as beta or experimental and provided without the commitments that apply to generally available features.
Accounts
You must create an account to use most features. You are responsible for safeguarding your account credentials, for all activity that occurs under your account, and for keeping your contact information accurate. You must notify us promptly of any unauthorized access. If you create or join a project or organization, you are responsible for managing member access and for the actions of members within your project to the extent permitted by your role, including their use of models and compliance with applicable model provider terms.
Acceptable Use
You may not use the Service to: (a) violate any law or regulation, or facilitate illegal activity; (b) infringe, misappropriate, or violate the intellectual property, privacy, or other rights of others; (c) generate, distribute, or operate malware, ransomware, exploits, or tooling intended to gain unauthorized access to systems or data; (d) conduct unauthorized scanning, penetration testing, denial-of-service, scraping, or credential attacks against any system you do not own or have explicit permission to test; (e) attempt to break, probe, or circumvent the rate limits, quotas, or security controls of the Service, or access another customer's data or agents; (f) generate or distribute content that is defamatory, harassing, abusive, sexually exploitative of minors, or that promotes violence or unlawful discrimination; (g) send spam or unsolicited communications, or engage in deceptive, fraudulent, or impersonation activity; (h) mine cryptocurrency or run unrelated bulk compute workloads not contemplated by the Service; (i) resell, sublicense, or provide the Service to third parties except when integrating the Service into your application in accordance with these terms; (j) use the Service in any manner that violates the acceptable use policies of the underlying AI model providers or third-party services you connect; or (k) access models you are not authorized to use, or circumvent restrictions we or model providers apply to model access, including by using virtual private networks, proxies, or similar means. We may suspend or terminate access for any prohibited use.
AI Agents and Autonomous Actions
The Service runs agents that act autonomously to carry out the instructions, prompts, and configurations you provide, including executing code, calling tools, browsing the web, and interacting with connected third-party services. You are solely responsible for the agents you create, the tasks you assign, the prompts and instructions you supply, and the actions your agents take and the outputs they produce. You are responsible for reviewing and supervising agent activity to a degree appropriate for your use case, particularly where agents can make changes to external systems, send communications, or incur costs. You are responsible for all usage charges your agents incur, including model and API usage, regardless of whether the volume or cost was intended. Model outputs may be inaccurate, incomplete, or unsuitable for your purpose; you must independently evaluate them before relying on them, and you must not use the Service as the sole basis for decisions requiring professional, legal, financial, or medical judgment.
Connectors and Third-Party Services
The Service lets you connect third-party applications and accounts (for example via OAuth) so that your agents can read from or write to those services within the scopes you grant. By connecting a service, you authorize Ageneral and your agents to access and act on that service on your behalf within the granted scopes, and you represent that you have the right to grant such access. You remain bound by the terms and policies of each third-party service, and you are responsible for ensuring your use complies with them. Third-party services are operated by others; we do not control them, do not guarantee their availability or behavior, and are not responsible for their acts or omissions. You may revoke a connector's access at any time, which may limit related agent functionality.
AI Models
The Service provides access to third-party AI models through a managed gateway. Your use of each model is additionally subject to that model provider's terms, acceptable use policies, and usage policies; you are responsible for reviewing those policies before use and for determining whether a model is appropriate for your use case, including regulated, sensitive, or customer-facing uses. Model providers may change their terms from time to time; your continued use of a model after such changes take effect constitutes acceptance of the updated provider terms. Each model provider controls its own models; we do not warrant that any model will be available, accurate, or fit for a particular purpose, and model availability, pricing, and capabilities may change without notice. We may suspend or remove access to any model if we reasonably believe you have violated applicable provider terms, if a provider requires us to do so, or to protect the Service. We are not liable for any unavailability, modification, removal, or degraded performance of any model arising from the acts or omissions of a model provider.
API Access and Integrations
The Service includes APIs you may use to integrate Ageneral into your own applications and products. If you do so, you remain responsible for all access to and use of the Service through your integration, including by your application's users or customers, whether or not they have their own Ageneral accounts. You must ensure that anyone who uses the Service through your integration complies with these terms and applicable model provider terms; you are responsible for their acts and omissions as if such use were under your account. You may not expose the Service in a way that circumvents our authentication, billing, usage limits, or security controls.
Customer Content and Data
"Customer Content" means the prompts, instructions, code, files, configurations, and other data you submit to the Service, and the outputs generated for you. As between you and Ageneral, you retain all rights you hold in your Customer Content. Your rights in model outputs may also be subject to applicable model provider terms. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely as necessary to operate and provide the Service, to maintain security and reliability, and to comply with law. You represent that you have all rights and lawful bases necessary to submit and process Customer Content through the Service, and that doing so does not violate any law or third-party right.
Intellectual Property
Ageneral and its licensors retain all rights, title, and interest in and to the Service, including all software, infrastructure, models, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these terms. You may not copy, modify, create derivative works of, reverse engineer, or decompile the Service except to the extent such restriction is prohibited by applicable law, and you may not remove or obscure any proprietary notices.
Fees, Plans, and Credits
The Service offers paid plans and prepaid usage credits. Plans are recurring subscriptions tied to the compute that runs your agents and are billed in advance at the price displayed at signup; you authorize recurring charges until you cancel. Credits are a prepaid balance used for usage-based charges such as model and API usage, and are consumed as you use the Service. We reserve the right to expire unused credits one year after purchase. If you enable auto-recharge, you authorize us to charge your payment method to replenish credits when your balance falls below your configured threshold; you may update or cancel auto-recharge at any time through your account settings. Prices, applicable taxes, and any service fees are shown at the time of purchase; taxes may be calculated based on your location. Payments are processed by our third-party payment provider, and you authorize charges to your payment method. Failure to pay may result in suspension or termination of access.
Cancellation and Refunds
You may cancel a plan at any time; cancellation stops future renewals and your agent is stopped and removed. Where prorated refunds for the unused portion of the current billing period are offered, they are calculated on a time-used basis (rounded up to the nearest hour) net of payment processing fees, and applied to the original payment method. Prepaid credits are non-refundable except where required by law. If you close your account, any remaining credits are forfeited and cannot be reclaimed. We may change pricing on a going-forward basis with reasonable notice; continued use after a price change constitutes acceptance.
Usage Limits
Your use may be subject to rate limits, quotas, concurrency limits, and resource constraints based on your plan, credit balance, or platform-wide protections. Exceeding limits may result in throttling, queuing, or temporary suspension. We may apply limits to protect the integrity, security, and availability of the Service for all users.
Service Availability and Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that model outputs will be accurate, or that defects will be corrected. The Service depends on third-party infrastructure, model providers, and connected services; we are not responsible for their downtime, changes, or actions. We may perform maintenance that temporarily affects availability.
Limitation of Liability
To the maximum extent permitted by law, Ageneral and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or relating to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Ageneral and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to your Customer Content, your use of the Service, use of the Service through your applications and integrations, your agents' actions, your use of models, connectors, and third-party services, or your violation of these terms, any model provider's terms, or any law or third-party right. We will promptly notify you of any such claim and may, at our option, participate in or assume control of its defense.
Suspension and Termination
We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these terms or applicable law, if your use creates security, legal, or operational risk, or for non-payment. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ceases and running agents may be stopped and removed; any remaining prepaid credits are forfeited except where required by law. We may retain or delete your data in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination (including Customer Content licenses necessary for wind-down, Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law) will survive.
Export Controls and Sanctions
You may not use or access the Service if you are located in, ordinarily resident in, or a national of any country or region subject to comprehensive United States or other applicable sanctions or embargoes, or if you are on any restricted or denied-party list. You represent that you are not subject to such restrictions and agree to comply with all applicable export control and sanctions laws. We may suspend or terminate access if we believe a violation has occurred.
Dispute Resolution and Arbitration
Any dispute arising out of or relating to these terms or the Service will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorized access to the Service. You and Ageneral waive any right to a jury trial and to participate in a class action or class-wide arbitration. The arbitration will be administered under the rules of the arbitration body we designate at the time the dispute arises.
Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Subject to the Dispute Resolution section, any legal action relating to these terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these terms from time to time. We will communicate material changes by email or in-app notice and update the "Last updated" date above. If you do not agree to updated terms, you must stop using the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
